The company has filed dormant accounts since incorporation on 15 March 1999. However, in 2009 the company acted as an intermediary wholesaler of health food drinks and supplements from August 2006 to July 2007.
On 25 February 2009 the Secretary of State for Business, Innovation and Skills, in pursuance of powers conferred upon him by sections 447 and 453A of the Companies Act 1985, authorised officers of Companies Investigation Branch to investigate the affairs of the company. After conclusion of this investigation the Secretary of State filed a petition to wind the up the company in the public interest. The grounds for seeking the winding up order were:-
- The company had been under the management of Stuart Andrew Yates, an undischarged bankrupt and a person disqualified from acting as a company director pursuant to the provisions of the Company Directors Disqualification Act 1986.
- The recorded directors of the company were not involved in the management or control of the company.
- The company appears to have been trading in the years-ending 31 March 2007 and 31 March 2008 yet filed dormant accounts in respect of those years, in breach of Section 242 of the Companies Act 1985.
The company's officers failed to co-operate with the investigation.
- The company failed to keep adequate accounting records contrary to section 221 of the Companies Act 1985.
The company paid the personal liabilities of Mr Yates and of linked companies, and its business and funds have been intermingled with that of Mr Yates and these linked companies.
The company was wound up on 20 January 2010 and the Official Receiver is liquidator. |
